Effective Date: October 2026

These Terms of Service (“Terms”) govern your access to and use of the TREDES website, mobile application, digital platforms, products and services provided by TREDES LIMITED (“TREDES”, “we”, “us” or “our”).

By creating an account, accessing or using any TREDES service, you confirm that you have read, understood and agreed to these Terms.

1. ABOUT TREDES

TREDES LIMITED is a diversified Nigerian company providing, among other services, technology-enabled financial solutions through the TREDES platform.

TREDES is not a bank. Regulated banking and payment services available through the TREDES platform are provided or supported through duly licensed and authorised financial institutions and service providers.

2. ELIGIBILITY

To use TREDES services, you must:

  • Meet applicable age and legal-capacity requirements;
  • Provide accurate, complete and current information;
  • Successfully complete any required identity verification or Know Your Customer (KYC) process; and
  • Comply with these Terms and applicable Nigerian laws and regulations.

We may request additional information or documentation where reasonably required for verification, security, compliance or regulatory purposes.

3. YOUR TREDES ACCOUNT

You are responsible for maintaining the confidentiality and security of your account credentials, including your password, PIN, OTP and other authentication information.

You must not knowingly allow another person to use your account or security credentials.

You must notify TREDES promptly if you suspect unauthorised access, fraud, loss of credentials or any compromise of your account.

You are responsible for ensuring that information connected to your account remains accurate and up to date.

4. TREDES SERVICES

Depending on availability and eligibility, TREDES may provide access to services including:

  • Digital wallet solutions;
  • Virtual account services;
  • Fund transfers;
  • Bill payments;
  • Airtime and data services;
  • Business solutions;
  • Agent solutions; and
  • Other technology-enabled financial services introduced from time to time.

The availability, features, limits and requirements of individual services may change.

Where a service requires regulated banking or payment infrastructure, the relevant service may be provided or supported through a duly licensed and authorised financial institution or service provider.

5. IDENTITY VERIFICATION AND COMPLIANCE

To provide and protect our services, TREDES may require information including your:

  • Full name;
  • Telephone number;
  • Email address;
  • Residential or business address;
  • Date of birth;
  • Photograph;
  • Bank Verification Number (BVN);
  • National Identification Number (NIN);
  • Government-issued identification;
  • Business information; and
  • Other information reasonably required for KYC, fraud prevention, risk management or regulatory compliance.

TREDES may verify information supplied by you through authorised identity-verification providers, financial institutions, regulatory databases and other lawful sources.

We may restrict access to certain services where required information cannot be verified or where there are reasonable security, fraud, legal or compliance concerns.

6. VIRTUAL ACCOUNT SERVICES

Where a virtual account is made available through TREDES, the underlying banking infrastructure is provided by an appropriately licensed financial institution.

Where specifically applicable, Virtual Account Services are provided by Wema Bank PLC.

The provision of a virtual account through the TREDES platform does not make TREDES a bank.

7. TRANSACTIONS

You are responsible for reviewing transaction details carefully before authorising any transaction.

Once a transaction has been successfully processed, it may not always be possible to cancel or reverse it.

A transaction may be delayed, declined, reversed or placed under review for reasons including:

  • Insufficient funds;
  • Incorrect transaction information;
  • Fraud or security concerns;
  • Regulatory or compliance requirements;
  • Transaction limits;
  • Network or service-provider failure;
  • System maintenance; or
  • Other legitimate operational reasons.

Where a failed transaction results in a debit, TREDES will follow the applicable reconciliation and reversal process.

8. FEES AND CHARGES

Applicable transaction fees, service charges or other charges will be disclosed through the relevant TREDES platform or transaction flow where required.

Government taxes, levies, duties or other statutory charges may apply separately.

TREDES may revise its fees and charges from time to time. Where required, applicable changes will be communicated through the TREDES platform or other appropriate channels.

9. BILL PAYMENTS, AIRTIME, DATA AND THIRD-PARTY SERVICES

Certain TREDES services depend on telecommunications companies, utility providers, financial institutions, payment networks and other third-party service providers.

Although TREDES takes reasonable steps to provide reliable services, we cannot guarantee uninterrupted availability of systems or services operated by third parties.

Where a third-party transaction fails after your account has been debited, the applicable reconciliation and reversal process will apply.

10. PROHIBITED ACTIVITIES

You must not use TREDES services for:

  • Fraud or attempted fraud;
  • Money laundering or terrorist financing;
  • Identity theft or impersonation;
  • Transactions involving proceeds of crime;
  • Any unlawful transaction or activity;
  • Unauthorised access to another person’s account;
  • Circumvention of transaction or account limits;
  • Abuse of promotions or TREDES systems;
  • Creating false or misleading transaction activity; or
  • Any activity prohibited by applicable law.

TREDES may investigate suspicious activities and may restrict or suspend an account or transaction where reasonably necessary.

Where legally required, TREDES may make reports to appropriate regulatory or law-enforcement authorities.

11. ACCOUNT AND TRANSACTION SECURITY

TREDES maintains appropriate technical and organisational safeguards designed to protect customer accounts, information and transactions.

You are also responsible for securing your device and account credentials.

TREDES will never require you to disclose your complete password, PIN or OTP to an unauthorised person.

You should immediately contact TREDES through our official support channels if you suspect that your account has been compromised.

12. SUSPENSION OR RESTRICTION OF SERVICES

TREDES may temporarily or permanently restrict access to an account, transaction or service where reasonably necessary due to:

  • Suspected fraud or unlawful activity;
  • Security concerns;
  • Regulatory or legal requirements;
  • Breach of these Terms;
  • Inaccurate, false or unverifiable information;
  • Abuse of TREDES services; or
  • Other legitimate risk-management or compliance requirements.

Where legally permissible and appropriate, we will provide relevant information concerning such restrictions.

13. SERVICE AVAILABILITY

We aim to provide reliable and accessible services but cannot guarantee that every TREDES service will always be uninterrupted or error-free.

Temporary interruptions may occur due to:

  • Scheduled maintenance;
  • System upgrades;
  • Telecommunications failures;
  • Banking or payment-network interruptions;
  • Third-party service failures;
  • Security incidents; or
  • Circumstances beyond our reasonable control.

14. INTELLECTUAL PROPERTY

The TREDES name, logo, trademarks, software, website, mobile application, designs, content and other proprietary materials belong to TREDES LIMITED or their respective lawful owners.

You may not copy, reproduce, modify, distribute, commercially exploit or otherwise use TREDES intellectual property without prior written authorisation.

15. PRIVACY AND DATA PROTECTION

TREDES processes personal information in accordance with our Privacy Policy and applicable Nigerian data protection requirements.

By using TREDES services, you acknowledge that your personal information may be processed as reasonably necessary to provide our services, verify your identity, protect your account, prevent fraud and meet applicable legal and regulatory requirements.

Please refer to the separate TREDES Privacy Policy for further information.

  • Other important information relating to your use of TREDES.

Marketing communications will be handled in accordance with applicable law and your available communication preferences.

17. LIMITATION OF LIABILITY

TREDES will be responsible for losses to the extent required by applicable law.

To the extent permitted by law, TREDES will not be liable for losses resulting directly from:

  • Customer negligence;
  • Disclosure or compromise of customer security credentials;
  • Incorrect transaction instructions supplied by the customer;
  • Unauthorised use arising from the customer’s failure to protect their account;
  • Failures attributable solely to third-party networks or systems; or
  • Events beyond TREDES’ reasonable control.

Nothing in these Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.

18. CUSTOMER COMPLAINTS

If you experience a problem with a TREDES service, please contact TREDES Customer Support through the official channels provided on our website or mobile application.

TREDES will endeavour to investigate and resolve complaints fairly, promptly and in accordance with applicable requirements.

Where a matter cannot be resolved directly, you retain any rights or remedies available to you under applicable Nigerian law.

19. CLOSING YOUR ACCOUNT

You may request the closure of your TREDES account, subject to:

  • Completion of outstanding transactions;
  • Settlement of outstanding obligations;
  • Resolution of disputes or investigations;
  • Applicable regulatory requirements; and
  • Any legally required retention of records.

Account closure does not remove obligations or liabilities that arose before the account was closed.

20. CHANGES TO THESE TERMS

TREDES may update these Terms from time to time to reflect changes in our products, services, technology, applicable law or regulatory requirements.

Where a material change affects your rights or obligations, we will provide appropriate notice where required.

Your continued use of TREDES services after updated Terms become effective will constitute acceptance of those Terms, subject to applicable law.

21. GOVERNING LAW

These Terms are governed by the laws of the Federal Republic of Nigeria.

Any dispute arising from your use of TREDES services will be handled in accordance with applicable Nigerian law and any applicable dispute-resolution procedure governing the particular product or service.
